CoolenatorForBusiness – B2B Terms & Conditions

1. Scope

These Terms & Conditions apply to all sales of Coolenator products and accessories to business customers (B2B) via CoolenatorForBusiness and/or direct sales channels. These terms do not apply to consumers (B2C).

2. Orders and Payment

  • All B2B orders require prepayment, unless agreed otherwise in writing.
  • An order is confirmed once Coolenator has provided written confirmation and/or payment has been received.

3. Prices, VAT, Shipping, and Import Duties

  • Prices are exclusive of VAT and shipping costs unless explicitly stated otherwise.
  • For deliveries outside the Netherlands and/or the EU, the customer is responsible for any import duties, customs fees, and local taxes.

4. Delivery and Transfer of Risk

  • Delivery dates and lead times are estimates unless explicitly agreed otherwise in writing.
  • Risk of loss or damage transfers to the customer upon delivery.

5. Inspection, Defects, and Claims

  • The customer must inspect the products immediately upon receipt.
  • Visible defects or transport damage must be reported within 48 hours of delivery.
  • Other defects must be reported within 7 days of discovery.
  • Claims must be submitted in writing and include sufficient detail (e.g., order reference, photos, description).

6. Returns and Cancellation

  • B2B orders are final and do not include a statutory right of withdrawal.
  • Returns are only accepted with prior written approval from Coolenator.
  • Returned products must be unused, in original condition, and in original packaging.
  • Customized products are non-returnable once production has started.

7. Warranty

  • Coolenator provides a 1-year warranty for products used under normal conditions.
  • The warranty does not cover damage caused by improper use, negligence, accidents, unauthorized modifications, or normal wear and tear.

8. Intellectual Property

All intellectual property rights (including but not limited to designs, trademarks, and product concepts) remain the property of Coolenator. No rights are transferred to the customer unless explicitly agreed in writing.

9. Liability

  • Coolenator’s liability is limited to the value of the relevant order, to the extent permitted by applicable law.
  • Coolenator is not liable for indirect or consequential damages (including loss of profit), to the extent permitted by applicable law.

10. Governing Law and Jurisdiction

These Terms & Conditions are governed by Dutch law. Any disputes will be submitted to the competent court in the Netherlands (venue to be specified).
